The following are the Terms and Conditions for the sale of electronic products and their accessories by our company to our customers. These Terms and Conditions govern the sale of products and the provision of services between our affiliates and/ or our service providers. These Terms and Conditions may not be changed, edited or deleted unless with prior written consent from our company.

1. Definition of Terms
Seller is our company. Buyer is any individual who agrees whether implied or not to buy goods from us. Goods/ products are electronic products and/ or electronic accessories sold to the buyer in accordance with the seller`s terms and conditions.

2. Orders
All orders placed by the buyer are subject to acceptance by the seller. No order may be canceled without the seller`s written consent. All orders must contain delivery dates, product descriptions product code, and product price. Orders are not binding to the seller unless and until accepted and authorized by a company representative.
Seller`s acceptance of a purchase order shall not be deemed as acceptance of the terms therein, terms of the seller will precede those of the buyer`s purchase order.

3. Prices
Quotations from suppliers are open to acceptance by the seller within 45 days from the date of requisition. This does not, however, refer to quotations previously withdrawn. Prices quoted are inclusive of taxes and other indirect costs unless agreed in writing by the seller. Price quotations to buyers shall expire within 30 days from the date of issue and any amendments or cancellation may be done within this time frame.
The buying price is the price that is reflected on the seller`s invoice. Any undelivered products within a reasonable time are subject to change in price based on market changes or any other conditions beyond the seller`s control.
Prices stated on the catalog are not binding and are subject to change. The prices charged on the products are not inclusive of buyer`s bank charges on credit cards and other mediums of payments. The company shall not be held liable for any errors in pricing made on its websites or catalogs.

4. Delivery
Delivery dates quoted by the seller are only estimates and it is implied that the buyer acknowledges this by confirming the order. The seller shall not be held liable for any late delivery due to causes beyond the control of the seller. Late delivery does not give buyer right to terminate the transaction without reasonable cause and with written and accepted notice. The carrier shall be deemed as a separate identity from that of the seller and the seller shall not take liability for any delays caused by his late or no delivery. Nondelivery of goods or receipt of faulty goods must be notified to the seller within three working days. A physical invoice will be sent together with the goods and the seller shall sign a copy for the courier staff. A soft copy of the invoice shall be sent to the buyer and buyer must compare that both physical and online invoices are similar.
Requests to reschedule delivery must be communicated to the company and approval of the same received by the buyer. The seller can reschedule delivery within a reasonable time.
Delivery will only be done at the stated billing address as at the time of placing an order. Any change in billing address must be communicated to the company within a reasonable time and written consent given by the company. The company reserves the right to invoice extra charges to the buyer for such rescheduling and products will be deemed not fully paid for in such instances until such charges are settled.
Upon delivery, products shall be deemed to have been accepted by Buyer unless rejected on receipt

5. Returns
Upon delivery, products shall be deemed to have been accepted by Buyer unless rejected on receipt. The buyer reserves the right to return goods that have been delivered faulty. The wish to return must be communicated to the seller in writing within a reasonable time and a unique return code must be issued by the seller. All claims for faulty products must be done within 48 hours of receipt of the product after which any complaint shall not be valid. Refunds will be issued at the product price less any delivery and handling charges. Damage of products as a result of mishandling does not qualify for return or refund.
All products returned must be done so in the original packaging of the manufacturer. The seller reserves the right to reject and deliver back any returns, not in their original packaging. Such delivery charges will be the liability of the buyer.

6. Payments
All payment of products will be done online. The buyer will communicate the mode of payment when placing an order. The seller reserves the right to cancel the order if full payment is not done.
Full payments shall be made at the time of placing the order and the company shall not issue delivery orders unless full amount is settled. Amounts to be paid by a buyer shall include handling and delivery charges.

7. Terms of Payments
Standard payment terms are “Pay on Order”. Any other term will be done only at the discretion of our company and with written consent from the company`s management. Any promotional discounts are included in the original invoice and such payment done online.

8. Credit Accounts
A buyer who wishes to open a credit account with us must furnish the company with necessary details and must deposit the agreed upon credit limit before any transaction can proceed to the company`s bank account. Credit account holders can only be buyers who buy frequently from the company and buy in bulk. The company reserves the right to reasonably reject, cancel or suspend such accounts without any prior notice to the buyer in the event that the buyer becomes insolvent or is deemed to have no capacity to continue in business.

9. Change of Product
The seller offers no guarantee that products offered as alternatives to buyer`s orders will be a complete alternative. By accepting to purchase the alternative the buyer implies that he agrees to this clause and the buyer will have no claims against the company in case of non-conformance of the alternative products.

10. Use of Product
The buyer shall use the product only as per the product manual outlines. The seller will not be held liable for any damages caused as a result of misuse of the product. All our products are electronic and come with products manual. The seller will not take liability for products that lack one.

11. Availability
All products and prices on catalogs are subject to change without notice. Acceptance of orders is subject to availability and inclusive of products on our website will not constitute to the availability of the said product.

12. Origin of Goods
The originality of goods rests entirely with the manufacturer and the seller offers no warranty or guarantee on this.

13. Ownership and Risk
All risk and title of the products shall pass to the buyer on delivery.

14. Non Waiver
The company`s failure to abide by any term in this agreement or failure to exercise any of the company`s rights shall not constitute a waiver of any of the company`s rights under this agreement.

15. Warranty and Limitation of Liability
Upon delivery, the seller will transfer all the transferable indemnities of the manufacturer provided to the seller. The seller shall have no liability for the quality of the manufacturer`s products.
Warranty shall not qualify for products damaged by misuse, mishandling, or improper use rather than the use that the product was intended for.
The seller`s liability shall not go beyond repairs and replacement. All repairs and replacement should not exceed the buyer`s original purchase price. Such products must have been determined non-effective for causes that are the manufacturers.
Products should be properly installed according to the products manuals and protected from power surges with recommended voltage stabilizers. Damages caused by power surges shall not be covered by manufacturer`s warranties.
Any complaint brought by the buyer in relation to the products later than the manufacturers’ stated warranty period valid or otherwise shall be deemed as time lapsed and will not be valid.
There is no warranties or value added services offered to the buyer by the seller.
Warranty for all our products does not cover for repairs undertaken by unauthorized technicians.
To qualify for warranty benefit of any product you must provide proof of purchase and the appliance must have been used as per the manual instructions of the product.
No alterations will be made on any of our products warranty cards as far as the date serial number, model number, and/ or any other details of the products. Any alterations to such will render warranty unacceptable.

16. Personal Data and Privacy
Any personal data of the buyer collected by the seller in the process of purchasing the products shall be governed by the Sellers Privacy Policy.

17. Force Majeure
The company shall not be held responsible for any product damages or failure to perform due to natural causes, severe weather conditions bankruptcy or any other cause that may lead to manufacturer`s inability to perform. The buyer shall not hold the company liable for any losses as a result of forces beyond their control.

No part of this publication may be reproduced in any form or by any means. This publication may not be used to make any derivative without the company`s permission.
